Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Bee The Wellness LLC dba The Starseed Collective ("Company," "we," "us," or "our") governing your access to and use of our website, coaching programs, digital courses, live events, and related services.
By accessing our website, purchasing any of our programs, or registering for any of our events, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Services Description
The Starseed Collective offers spiritual business coaching, mentorship programs, digital courses, live events, and related educational content designed to help visionary women build soul-aligned businesses. Our services include but are not limited to:
- The Priestess Path — a 12-month immersive coaching program
- Vision Quest — business blueprint and Sacred Structure development
- F*ck The Template — mindset training for entrepreneurs
- Starseed Summit — live, in-person gathering and conference
- Additional courses, trainings, workshops, and retreats hosted on our learning platform or at live venues
- Group coaching calls, community access, and supplementary materials
All services are educational in nature. We do not guarantee specific financial results, and outcomes depend on individual effort, market conditions, and other factors outside our control.

User Responsibilities
By using our services, you agree to:
- Provide accurate and complete information when registering or purchasing
- Maintain the confidentiality of your account credentials
- Use our services only for lawful purposes
- Respect the intellectual property rights of the Company and other users
- Engage respectfully in any community spaces, group interactions, or live events
- Not share, distribute, or resell program materials without written permission
- Comply with any conduct standards or community guidelines we communicate
You are solely responsible for your own business decisions and outcomes. Our coaching and educational content is provided for informational purposes and should not be construed as legal, financial, or professional advice.

Payment & Refunds
4.1 Payment: All prices are listed in USD. Payment is processed through our third-party payment processor (SamCart). By making a purchase, you authorize us to charge the payment method provided.
4.2 Payment Plans: If you enroll in a payment plan, you agree to complete all scheduled payments regardless of your participation in the program. Failure to complete payments may result in loss of access to program materials and potential collections action.
4.3 Digital Program Refunds: Due to the digital nature of our products and the immediate access provided upon purchase, all sales of digital programs and courses are final. We do not offer refunds except where required by law. If you have concerns about a purchase, please contact us within 7 days.
4.4 Event Tickets: Event ticket purchases are governed by Section 12 (Live Events & In-Person Experiences). All Event sales are final except as provided in Section 12.3 (Force Majeure).
4.5 Chargebacks: If you initiate a chargeback or payment dispute, you agree that we may suspend your access to all programs and services until the dispute is resolved.
You agree to contact The Starseed Collective directly to resolve any billing concerns before initiating a chargeback with your credit card company. Initiating a chargeback without first attempting resolution with us may delay resolution and may result in forfeiture of refund rights.
A chargeback is improper if:
- You received the services as described and simply changed your mind
- You are attempting to circumvent our cancellation or refund policy
- You dispute a charge after voluntarily canceling under our Terms
- You dispute a charge for services or events you attended
If you initiate an improper chargeback, we reserve the right to contest the chargeback with documentation, suspend or cancel your access, pursue collection of amounts owed, and recover reasonable costs incurred in disputing the chargeback.

Intellectual Property
All content, materials, trademarks, and intellectual property associated with The Starseed Collective, including but not limited to course content, videos, worksheets, frameworks, event materials, and branding, are owned by Bee The Wellness LLC and are protected by copyright and trademark laws.
You are granted a limited, non-exclusive, non-transferable license to access and use purchased materials for your personal and business use. You may not:
- Copy, reproduce, or distribute materials to others
- Resell, sublicense, or commercially exploit our content
- Create derivative works based on our materials
- Use our trademarks without written permission
- Record, photograph, or capture event content without authorization

Limitation of Liability
To the maximum extent permitted by law, Bee The Wellness LLC and its owners, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or attendance at our events.
Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount you paid to us for the specific service or event giving rise to the claim.
We make no warranties, express or implied, regarding the results you may achieve from our programs. Success in business depends on many factors, and we cannot guarantee specific outcomes.

Earnings Disclaimer
NO GUARANTEES OF INCOME OR RESULTS: The Starseed Collective provides educational and informational content related to business strategy, marketing, and personal development. Any income figures, financial examples, or results mentioned in our programs, website, or marketing materials are for illustrative purposes only.
RESULTS NOT TYPICAL: Testimonials and examples used are exceptional results which do not apply to the average purchaser, and are not intended to represent or guarantee that anyone will achieve the same or similar results. Each individual's success depends on their background, dedication, desire, and motivation.
NOT A "GET RICH QUICK" SCHEME: Our programs require work, commitment, and consistent effort. We make no promises or guarantees about your ability to earn money with our ideas, information, strategies, or techniques. Nothing on our website or in our materials is a promise or guarantee of future earnings or success.
EDUCATIONAL & ENTERTAINMENT PURPOSES: All content provided by The Starseed Collective is for educational and entertainment purposes only. It is not intended as, and shall not be understood or construed as, professional business, financial, tax, or legal advice. You should always consult with appropriate professionals before making business decisions.
YOUR RESULTS MAY VARY: Any statements regarding earnings, income, or other financial performance are simply statements of what we or others have experienced. There is no assurance you will do as well. If you rely upon our figures, you must accept the risk of not doing as well.
By using our services, you acknowledge that you are solely responsible for your own business decisions and outcomes, and you release The Starseed Collective from any liability related to business decisions you make based on our content.

Health & Wellness Disclaimer
NOT MEDICAL ADVICE: The Starseed Collective offers wellness content including but not limited to Kundalini yoga, breathwork, meditation, and energy practices. This content is provided for educational and self-improvement purposes only and is not intended as a substitute for professional medical advice, diagnosis, or treatment.
CONSULT YOUR PHYSICIAN: Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition or before beginning any new exercise, wellness, or breathwork program. Never disregard professional medical advice or delay seeking it because of something you have read or experienced through our programs.
ASSUMPTION OF RISK: Participation in yoga, breathwork, and meditation practices involves inherent risks including but not limited to physical injury, emotional release, dizziness, or discomfort. By participating in any wellness content provided by The Starseed Collective, you acknowledge that you do so at your own risk and assume full responsibility for any injury or harm that may result.
RELEASE OF LIABILITY: To the fullest extent permitted by law, you hereby release, waive, and discharge Bee The Wellness LLC, Vanessa Lambert, and all affiliated instructors, employees, and contractors from any and all liability, claims, demands, or causes of action arising out of or related to any loss, damage, or injury, including death, that may be sustained by you in connection with your participation in any yoga, breathwork, meditation, or wellness activities offered through our programs or events.
SPECIAL CONSIDERATIONS: If you are pregnant, nursing, have a history of seizures, heart conditions, respiratory conditions, high or low blood pressure, or any other medical condition, please consult your doctor before participating in breathwork or Kundalini yoga practices. Some practices may not be suitable for all individuals.
By accessing our wellness content or attending our events, you confirm that you are in good physical health and have no medical conditions that would prevent your safe participation in these activities.

Dispute Resolution
9.1 Contact Us First: We want to resolve any concerns you have. Before taking formal action, please contact us at support@starseed-collective.com. Most issues can be resolved with a conversation.
9.2 Pre-Suit Notice Requirement: Before initiating any legal action or arbitration, you must send written notice to Bee The Wellness LLC at 1712 Pioneer Ave Suite 500, Cheyenne, WY 82001, describing the dispute, the facts giving rise to the dispute, and your proposed resolution. We will have 60 days to attempt informal resolution. Notice must be sent within 30 days of the event or circumstance giving rise to the claim.
9.3 Binding Arbitration: Any disputes arising from these Terms or your use of our services that are not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration will take place in Laramie County, Wyoming, OR via videoconference (Zoom or similar platform), at your election. The arbitration will be conducted by a single neutral arbitrator and will apply Wyoming law. Judgment on the arbitration award may be entered in any court having jurisdiction.
By agreeing to these Terms, you are waiving your right to sue in court (except as stated below).
9.4 Small Claims Exception: Either party may bring an individual claim in small claims court if the claim qualifies for that court's jurisdiction and proceeds only on an individual basis.
9.5 Class Action Waiver: You agree to resolve disputes with Bee The Wellness LLC on an individual basis only. You waive any right to participate in a class action lawsuit, class arbitration, collective action, or representative proceeding.

Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any legal proceedings shall be conducted in the state or federal courts located in Wyoming.

Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website with an updated "Last updated" date. Your continued use of our services after any changes constitutes acceptance of the new Terms.
For material changes that significantly affect your rights, we will make reasonable efforts to notify you via email or prominent notice on our website.

Live Events & In-Person Experiences
This section governs your participation in live, in-person events offered by The Starseed Collective, including but not limited to the Starseed Summit, workshops, retreats, and gatherings ("Events"). These terms apply in addition to the general terms above.
12.1 Event Registration & Tickets
By purchasing a ticket or registering for an Event, you acknowledge that:
- Your registration is confirmed only upon receipt of payment in full or first payment plan installment
- Ticket purchases constitute a binding agreement to these Terms
- Tickets are issued to the named registrant and are non-transferable without written approval from The Starseed Collective
- Event capacity is limited; registration does not guarantee admission if you arrive after the event has reached capacity
Ticket Transfers: If you are unable to attend, you may request to transfer your ticket to another person. Transfers require written request at least 14 days before the Event, our approval (which may be withheld if the transferee is not suitable for the Event or does not meet program prerequisites), and a $50 transfer fee. The original ticket holder remains liable for all payments until the transfer is complete and accepted.
12.2 Event Cancellation by You
All Event ticket sales are final. Due to limited capacity, venue commitments, and production costs incurred in advance, we do not offer refunds for Event tickets except as required by law.
If you cannot attend:
- You may request a ticket transfer per Section 12.1
- You may request a credit toward a future Event or program, at our sole discretion
- Credits, if issued, expire 12 months from the original Event date and are not redeemable for cash
No-shows: If you do not attend and have not contacted us in advance, no refund, credit, or transfer will be provided.
12.3 Event Cancellation or Modification by Us
Our Right to Modify: We reserve the right to modify Event details including speakers, schedule, venue, and format. Reasonable modifications do not entitle you to a refund.
Force Majeure: If The Starseed Collective cancels an Event due to circumstances beyond our reasonable control ("Force Majeure Event"), you will receive, at our option: a full credit toward a future Event or program, valid for 24 months; or a refund of ticket fees paid, less any non-recoverable costs already committed (such as venue deposits, production expenses, or speaker fees).
Force Majeure Events include but are not limited to:
- Natural disasters (earthquake, flood, fire, hurricane, extreme weather)
- Public health emergencies, epidemic, or pandemic
- Government orders, mandatory closures, or restrictions affecting the venue or gathering
- Terrorism, civil unrest, or credible threats to attendee safety
- Venue or essential vendor failure beyond our control
- Any circumstance beyond our reasonable control which, in our good faith determination, makes it unsafe or impractical for the Event to proceed
What Force Majeure is NOT:
Force Majeure applies when THE STARSEED COLLECTIVE cancels an Event due to circumstances beyond our control. It does NOT apply when:
- You have a personal schedule conflict or change of plans
- You have general discomfort with travel or public gatherings when no official restriction applies
- News coverage of events in other regions not affecting the Event venue causes you concern
- You are unwilling (rather than unable) to attend
- Personal financial circumstances change
In these circumstances, standard cancellation terms (Section 12.2) apply. We recommend event cancellation insurance if you want flexibility to cancel for personal reasons.
12.4 Assumption of Risk & Liability Waiver
By attending any Event, you acknowledge and agree:
Inherent Risks: Live events involve inherent risks including but not limited to: exposure to communicable illness, physical exertion during wellness activities, emotional intensity during transformational work, interaction with other attendees, and travel to and from the venue. You voluntarily assume all risks associated with attendance.
Personal Responsibility: You are solely responsible for:
- Your own health, safety, and wellbeing during the Event
- Determining your fitness to participate in any activities offered
- Arranging your own transportation, accommodations, and travel insurance
- Complying with any health or safety requirements communicated before or during the Event
- Your personal belongings and valuables
Release of Liability: To the fullest extent permitted by law, you release and hold harmless Bee The Wellness LLC, Vanessa Lambert, and all affiliated instructors, employees, contractors, speakers, sponsors, and representatives from any and all claims, demands, or causes of action arising from your attendance or participation in the Event, including but not limited to: personal injury, illness, or death; property damage, loss, or theft; emotional distress or psychological harm; actions or omissions of other attendees; and acts of third parties, venue conditions, or circumstances beyond our control.
This release applies to claims arising from negligence but does not apply to claims arising from gross negligence or willful misconduct.
Limitation of Liability: Our total liability for any claim arising from an Event shall not exceed the ticket price you paid for that specific Event.
12.5 Health & Safety Requirements
Your Acknowledgment: By registering, you confirm that you are in sufficient physical and mental health to participate in the Event activities, including any yoga, breathwork, meditation, or movement practices offered. If you have any medical conditions that may affect your participation, you agree to consult your physician before attending and to inform our staff of any limitations.
Our Requirements: We may implement health and safety protocols for Events, which may include but are not limited to: health screenings, vaccination requirements, mask policies, testing requirements, or capacity restrictions. These requirements may change based on local conditions, venue requirements, or public health guidance. By attending, you agree to comply with all protocols in effect at the time of the Event. Failure to comply may result in denial of entry without refund.
Communicable Illness: If you are experiencing symptoms of contagious illness (fever, cough, vomiting, etc.) within 48 hours of the Event, you agree not to attend. Contact us at support@starseed-collective.com for credit or transfer options in these circumstances.
12.6 Event Conduct & Community Standards
The Starseed Collective creates sacred, supportive spaces for transformation. By attending, you agree to:
- Treat all attendees, speakers, staff, and venue personnel with respect and kindness
- Maintain confidentiality of other attendees' personal shares, stories, and contact information
- Refrain from harassment, discrimination, bullying, or disruptive behavior
- Follow all instructions from Event staff regarding safety, logistics, and schedule
- Not engage in any illegal activity during the Event
- Respect the physical and emotional boundaries of others
- Refrain from soliciting other attendees for your own business without prior approval
Removal: We reserve the right to remove any attendee whose behavior violates these standards, disrupts the Event, or creates an unsafe environment for others, without refund.
12.7 Photography & Media Release
By attending an Event, you grant The Starseed Collective and its authorized representatives permission to photograph, video record, and audio record your likeness and voice during the Event, and to use such media for marketing and promotional purposes, social media content, future course, program, or event materials, press and media coverage, and testimonials and case studies.
This grant includes the right to edit, modify, and use such media in any format, in perpetuity, without additional compensation.
Opt-Out: If you do not wish to be photographed or recorded, you must notify us in writing at support@starseed-collective.com at least 7 days before the Event. We will make reasonable efforts to accommodate your request, but cannot guarantee complete exclusion from all media captured at public events. You are responsible for positioning yourself outside of designated photography areas.
12.8 Recording Prohibition
You may not record, photograph, livestream, or otherwise capture Event content (including presentations, workshops, ceremonies, or materials) without express written permission from The Starseed Collective. Unauthorized recording is a violation of these Terms and may result in removal from the Event without refund and legal action to protect our intellectual property.
Personal photographs for non-commercial use (selfies, photos with friends) are permitted in designated areas only.
12.9 Third-Party Services
Events may include services provided by third parties including but not limited to venues, hotels, caterers, vendors, transportation providers, and guest speakers. The Starseed Collective is not liable for the acts, omissions, negligence, or failures of these third parties. Any claims related to third-party services must be directed to the relevant provider.
We select our vendors and partners with care, but we do not control their operations and cannot guarantee their performance.
12.10 Event Communications
By registering for an Event, you consent to receive communications from us regarding Event logistics, updates, schedule changes, and related information via email, text message, or other contact methods you provide. You may also receive post-Event communications including surveys, offers for future events, and program information.

General Provisions
13.1 Contracting Party: You acknowledge that this Agreement is between you and Bee The Wellness LLC, a Wyoming limited liability company doing business as The Starseed Collective ("Company"). Any services provided by Company's employees, contractors, officers, or representatives (including Vanessa Lambert) are provided solely in their capacity as agents of Company. No individual assumes personal liability to you, and you agree to look solely to Company for performance of this Agreement.
13.2 Severability: If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.
13.3 Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later. Any waiver must be in writing and signed by an authorized representative of The Starseed Collective.
13.4 Assignment: You may not assign or transfer your registration, tickets, or any rights under these Terms without our written consent. We may assign our rights and obligations under these Terms to any successor entity or affiliate.
13.5 Entire Agreement: These Terms, together with any program-specific terms presented at the time of purchase, constitute the entire agreement between you and The Starseed Collective regarding the subject matter hereof and supersede all prior agreements and understandings.
13.6 Headings: Section headings are for convenience only and do not affect the interpretation of these Terms.
13.7 Survival: Sections 5 (Intellectual Property), 6 (Limitation of Liability), 7 (Earnings Disclaimer), 8 (Health & Wellness Disclaimer), 9 (Dispute Resolution), 10 (Governing Law), 12.4 (Assumption of Risk & Liability Waiver), and 13 (General Provisions) shall survive termination of these Terms.
